Biography

 

Mr. Davis represents leading venture capital firms, hedge funds, Fortune 500 companies, directors and officers, and high net worth individuals in a variety of commercial disputes and government investigations.  His practice focuses particularly on securities litigation, corporate governance disputes, corporate control and merger and acquisition matters, and related regulatory litigation. He has served in all facets and capacities in internal corporate investigations by special or audit committees of boards of directors covering a wide variety of regulatory subject matters.  He has particular expertise in all aspects of accounting and public disclosure matters, and especial expertise with Internet, media and software companies.  He is involved in numerous cutting edge matters related to stock option backdating, revenue recognition, executive compensation, board oversight, and other accounting issues. Mr. Davis also regularly litigates trade secret, patent, antitrust, partnership, insurance and other complex disputes. He has counseled clients extensively regarding the Sarbanes-Oxley Act and related regulations, and is widely published on white collar, securities, corporate governance and accounting topics.

As counsel to Benchmark Capital and August Capital, dismissed bulk of claims and removed amended complaint to federal court in Epinions.com litigation (Ravikant v. Tolia et al.); matter then confidentially resolved.
 
As counsel to officer of JB Oxford settled on highly favorable terms first mutual fund late trading/market timing SEC enforcement action to approach trial.
 
As counsel to PricewaterhouseCoopers, secured dismissal and affirmance on appeal two securities class actions involving issuer ICN Pharmaceuticals.
 
Company counsel to Maxim Integrated Products in eight-month special committee investigation and follow on regulatory proceedings in stock option "backdating" matter; counsel to directors and officers in shareholder derivative suits.

 

Company counsel to AOL Time Warner in the Homestore.com investigation of "roundtrip" and barter accounting practices and securities litigation; matter dismissed twice at district court, and dismissal affirmed by Ninth Circuit.

 

Represented GE Capital in the McKesson-HBOC merger litigation, arising out accounting restatement related to revenue recognition practices at HBOC; all matters dismissed.

 

Company counsel to Tier Technologies in six-month audit committee investigation, and follow on accounting restatement, and shareholder and SEC proceedings.

 

Company counsel to Terayon Communications Systems in year-long audit committee investigation, accounting restatement and SEC and shareholder actions.   SEC matter resolved with recommendation of no enforcement action from SEC Staff. 

 

Counsel to the Chairman and CEO of Intermix, parent company of MySpace.com, in five-month audit committee investigation, and subsequent SEC and shareholder litigation, and NY Attorney General "spyware" investigation.  SEC matter resolved with recommendation of no enforcement action from SEC Staff.

 

Counsel to the Chairman and founder of Ariba Software, in internal investigation of accounting practices, and subsequent SEC and shareholder litigations. No SEC enforcement action taken.
 
Representing Hughes Electronics, secured complete dismissal of shareholder actions arising out of failed Hughes-Echostar merger
