Biography

 

Maria Ginzburg is a litigation partner in the New York office.  Her practice is focused on complex disputes in the financial industry and related regulatory matters.  Ms. Ginzburg handles civil cases, represents clients in investigations before the SEC, FINRA and New York Attorney General, and conducts internal investigations.  She has experience involving a wide range of issues, including structured products, insider trading, short selling, PIPEs trading, market timing, fraudulent conveyance, Ponzi schemes, conflicts of interest, accounting and underwriting practices, suitability disputes,  consumer fraud, whistleblower actions, corporate governance and employment matters. 






Notable Representations

 

Defeated $1.5 billion fraudulent transfer challenge to secured bank debt of Capmark on behalf of the secured creditors’ committee; upheld pre-confirmation, all cash settlement of claims for $0.91/dollar over unsecured creditors’ objections.


Asserted claims on behalf of an investor, exposing the North Hills Ponzi scheme; the principal of the fraud pleaded guilty to securities fraud and is awaiting sentencing. 

 

Obtained dismissal of antitrust claims against major financial institution arising out of naked short selling practices.


Defeated class actions and dozens of arbitrations related to research conflicts and suitability asserted against Morgan Stanley and Mary Meeker; served as national trial counsel for Mary Meeker and Morgan Stanley’s national coordinator for research related arbitrations.


Obtained reversal of the appeal of a French Commercial Court decision awarding Louis Vuitton Moet Hennessey (LVMH) a judgment against Morgan Stanley related to allegedly biased research of LVMH and Gucci.


Obtained favorable settlement of consumer fraud class action alleging improper billing and marketing practices against major wireless service provider. Claims were settled on terms well below settlement authority and estimated litigation costs.


Represented Fortune 50 company in SEC investigation relating to revenue recognition and earnings management issues.


Represented Morgan Stanley and Internet analyst Mary Meeker in SEC and New York Attorney General investigations relating to conflicts of interest between analysts and investment bankers.


Conducted corporate governance review of a public media company pursuant to requirement of a criminal settlement of options backdating issues. Presented findings to Manhattan District Attorney’s Office.


Represented one of the most active hedge funds investing in PIPEs (Private Investment in Public Equity) in SEC investigation of short selling practices.


Represented U.K. hedge fund in SEC suit for market timing and late trading.

 

Represented special committees of the boards of two prominent Jewish non-profits in connection with Ezra Merkin and Bernard Madoff matters.
