Securities Litigation

In recent years, the firm has been involved in many of the most high-profile securities cases in the nation, including the barrage of stock option and executive compensation investigations. We have litigated virtually every type of securities case, including ’33 and ’34 Act claims, fraud and non-disclosure cases under Blue Sky laws, merger and proxy disputes, "all holders/best price" rule litigation, corporate governance litigation, insider trading and option disputes, including numerous derivative and class action claims in these areas.  We have represented Fortune 500 companies, investment banks, accountants, directors, officers, institutional investors, hedge funds, indemnitees, financial advisors, special committees, and broker-dealers in federal and state courts throughout the country, in industries ranging from securities, defense, banking and insurance to entertainment, pharmaceuticals, software and computing.  We have also represented issuers, founders, officers and directors in many of the leading Silicon Valley matters of recent years. We have represented the same range of clients in related matters before the SEC and DOJ.

Among the attorneys in this group are over a dozen former prosecutors, including several alumni of the United States Attorney's Offices in Los Angeles and New York City and the former U.S. Attorney for the Central District of California.  Their experience and that of other former government counsel, including former SEC counsel, provides our clients with the best available representation.

Our trial expertise is well known to the leading members of the plaintiffs' securities bar, against whom we regularly litigate.  Our ability to try and win cases makes plaintiffs less likely to devote substantial resources to a Quinn Emanuel-defended suit.  We also seek opportunities for creative settlements that will give plaintiffs' counsel their needed fig leaf, but will give our clients an early resolution at reasonable expense.  We have achieved similar successes representing plaintiffs in securities matters.
