Jonathan maintains a broad litigation practice with largely-unparalleled specialty in M&A and corporate governance litigation. His industry-leading experience taking deals through trial includes post-trial termination of a $6 billion acquisition for Mirae Asset in 2021 and enforcement of closing for Desktop Metal in 2025. In 2023, Jonathan exposed a “dodgy bargain” through in-court cross-examinations in another expedited deal-enforcement trial.  His recent representation of a foreign company in multi-jurisdictional expedited litigation successfully forced a complete change of control at their Delaware, Nevada, and Texas entities. Jonathan currently represents a California financial institution in litigation to terminate a failed merger and advises several other clients on litigation strategy in major pending deals. He also litigates high-profile corporate governance matters in the Delaware Court of Chancery. 

In his broader practice, Jonathan has obtained summary judgment for an insurer against bad faith claims (and obtained a multi-million dollar return of premiums paid), obtained a jury trial verdict for another insurer, defeated motions to dismiss and obtained key discovery for a cryptocurrency fund, and has repeatedly avoided prosecution for clients facing confidential government investigations.

Prior to joining the firm in 2015, Jonathan earned a Bachelors in Business Administration from Queens College of the City University of New York and then graduated magna cum laude from the University of Pennsylvania Law School, where he also served on the board of the University of Pennsylvania Law Review.

  • Represented Snow Phipps in filing complaint to specifically perform merger with Kohlberg & Co.
  • Represented 26 Capital Acquisition Corp. in trial over failed merger with Universal Entertainment.
  • Represented Desktop Metal in obtaining post-trial specific performance of merger with Nano Dimension.
  • Represented Shandong Xinchao and Zhejiang Benbao in obtaining complete change of control at Delaware, Texas, and Nevada entities holding and operating Surge Energy’s U.S. oil and gas assets.
  • Represent clients in high-profile derivative cases concerning alleged breaches of fiduciary duty, bad faith, and insider trading.
  • Represent prominent European investor against alleged merger fraud claims.
  • Represented Allied World defeating contribution claims and recouping $5 million of defense costs from American Claims Management.
  • Represented Babcock & Wilcox defeating summary judgment against P.H. Glatfelter Company.
  • Represented Youbi Capital in bringing trade secret claims, defeating motion to dismiss, and obtaining discovery against BB Matrix and its principals.
  • Represented major pharmaceutical manufacturer to avoid charges in DOJ generic drug-pricing investigation.
  • Represented clients to settle real estate fraud investigation with no charges.
  • Represent 97 plaintiffs against Iran for damages arising from the October 7, 2023 terror attack.
